Form INC-22 Filing

Form INC-22 is a statutory e-form filed with the Registrar of Companies (ROC) for notifying the registered office of a company or any subsequent change in the registered office. The filing is governed by Sections 12(2), 12(4) and 12(5) of the Companies Act, 2013, read with Rule 25 and Rule 27 of the Companies (Incorporation) Rules, 2014.

A company is required to maintain a registered office capable of receiving and acknowledging all communications and notices from the 30th day of incorporation and must notify the ROC of any change within the prescribed time. Form INC-22 is applicable for changes within the same city, town or village, as well as in other specified situations, while changes involving a different ROC or State may require additional approvals and forms (such as INC-23, MGT-14, or INC-28, where applicable).
