CONFIDENTIALITY & NON-DISCLOSURE AGREEMENT
This Confidentiality & Non-Disclosure Agreement governs the terms under which Filing Saarthi collects, handles and protects the proprietary and sensitive information provided by the client.
1. Core Commitments & Data Protection
- Strict Non-Disclosure: We do not disclose, sell, rent, trade or share any Client data, documents or client lists with unauthorized third parties.
- No Unauthorized Marketing: We will not use the Client’s name, brand identity, trademarks or case details for marketing, case studies or reference to prospective clients without explicit prior written consent.
- Purpose-Limited Use: Client information will strictly be utilized for executing the requested consultancy, filing and professional services.
2. Scope of Confidential Information Confidential Information includes all non-public, sensitive and proprietary information disclosed by the Client (whether orally, written, electronic or via portal upload), regardless of whether it is explicitly designated as "Confidential." This encompasses:
- Financial data, books of accounts, tax filings, pricing, profit margins and projections.
- Client, vendor, customer lists and strategic business models.
- Intellectual property, patent searches, inventions, trade secrets, drawings and R&D materials.
- Technical data, proprietary ideas, business plans and operational workflows.
3. Internal Access & Security Controls
- Need-to-Know Access: Internal access to Client data is strictly restricted to directors, officers, employees, partners and designated associates who need the information to perform the assigned services.
- Standard of Care: We employ industry-standard digital security and managerial practices to safeguard information against unauthorized access, loss or leakage.
- Legal Exceptions: Information may only be disclosed if mandatory under applicable statutory laws, regulatory authorities or a valid judicial order.
4. Standard Exclusions Confidentiality obligations under this Agreement shall not apply to information that:
- Was already known to Filing Saarthi prior to disclosure without an obligation of confidentiality.
- Is or becomes publicly available through no breach or default of Filing Saarthi.
- Is lawfully obtained from an independent third party having the right to disclose it.
- Is independently developed by Filing Saarthi without reference to or reliance upon the Client’s proprietary information.
5. User Responsibility & Liability
- Account Security: The Client is solely responsible for maintaining the confidentiality of their account credentials and is liable for any actions, losses or legal consequences arising from unauthorized activities conducted through compromised credentials on their end.
- Breach & Remedies: Any breach of confidentiality obligations by either party shall entitle the aggrieved party to seek injunctive relief, damages and legal remedies as permissible under applicable law.
6. Miscellaneous Provisions
- Entire Agreement: This document represents the complete understanding between Filing Saarthi and the Client regarding information security and confidentiality.
- Severability: If any provision is deemed invalid or unenforceable, the remaining terms shall continue in full legal force and effect.
